Terms of
Service
The rules for using our website and the general terms for working with us. Your signed proposal sets out the exact scope, fees and timelines for your engagement.
01About these terms
These terms are between you and Agency by SAP, the digital marketing and PR arm of Stephen Akintayo Production, based in Lagos, Nigeria. By using this website or our services, you agree to them.
If you sign a proposal or statement of work with us, that document and these terms apply together. If they conflict, the signed document wins.
02Using our website
- You may browse, share and link to our pages for your own information.
- Don't copy our content, design or code for commercial use without written permission.
- Don't try to disrupt the site, access systems you aren't meant to, or send spam through our forms.
- Our articles are general guidance, not professional advice for your specific situation.
- Links to other websites are for convenience. We aren't responsible for their content.
03Free strategy call and AI Visibility Check
The 30-minute strategy call and the AI Visibility Check are free and carry no obligation. The AI Visibility Check is a snapshot of how AI assistants describe your brand on the day we run it. AI answers change often, so treat it as an indicator, not a guarantee.
04Proposals and engagements
Every engagement starts with a written proposal that sets out the services, deliverables, timelines, fees and minimum term. Work begins once you accept the proposal in writing and pay the first invoice.
Fees are set out in your proposal, based on the scope we agree together.
05Fees, payment and ad spend
- Monthly fees are invoiced in advance, at the start of each month. One-off projects are usually invoiced 50% upfront and 50% on delivery, unless your proposal says otherwise.
- Invoices are due within 7 days. We may pause work on overdue accounts after giving you notice.
- Ad spend is not included in our fees. You pay it directly to the advertising platforms, so you can always see where every naira goes.
- Nigerian clients are billed in naira. International clients may be billed in US dollars. Prices exclude VAT and other applicable taxes.
06Minimum terms and ending an engagement
- Starter plans have a minimum term of 3 months. Growth and Authority plans have a minimum term of 6 months, because results take time to build.
- After the minimum term, either side can end the engagement with 30 days' written notice.
- Either side can end the engagement immediately if the other seriously breaches these terms and doesn't fix the problem within 14 days of being told.
- When an engagement ends, you pay for work done up to the end date, and we hand back your accounts, files and access.
07What we need from you
- Timely access to the accounts, information and people we need
- Feedback and approvals within the timelines in your proposal
- Confirmation that you own, or have permission to use, the materials you give us
- Accurate information about your products, prices and claims, because you are responsible for the truth of claims about your business
Delays in approvals or access may move delivery dates.
08Results and media coverage
We guarantee the work: strong strategy, quality content, careful pitching and honest reporting. We can't guarantee specific results such as sales, leads, rankings, AI mentions or follower numbers, because these depend on factors outside our control.
Editors decide what they publish, so we can't guarantee media coverage. Any paid placement is always disclosed as paid. Advertising platforms may also reject or limit ads under their own policies.
We will only publish your name, logo, results or quotes as a case study with your written approval.
09How we use AI
We use AI tools for research, first drafts, editing and reporting. A human strategist reviews and approves everything before it goes out. We don't publish fake reviews, invented quotes or undisclosed paid placements. Our Privacy Policy explains how we protect your data when we use these tools.
10Intellectual property
- Once you've paid in full, you own the final deliverables we create for you, such as content, videos, designs and copy.
- We keep ownership of our own methods, templates, tools and know-how, and of drafts and concepts you don't choose to use.
- Stock images, music, fonts and software stay subject to their own licences.
- Unless you tell us otherwise, we may mention that we worked with you, without sharing confidential details.
11Confidentiality
Each side will keep the other's confidential information private and use it only for the engagement. This continues after the engagement ends. It doesn't cover information that is already public, or that the law requires to be disclosed.
12Liability
Nothing in these terms limits liability that the law does not allow to be limited. Otherwise:
- We aren't liable for indirect losses, such as lost profits or lost opportunities.
- We aren't liable for losses caused by advertising platforms, media outlets or other third parties.
- Our total liability for any engagement is limited to the fees you paid us in the 3 months before the claim.
13Governing law and contact
These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that we can't settle by talking will be handled by the courts of Lagos State.
We may update these terms from time to time and will post the new version here with a new "Last updated" date. Changes don't affect a signed proposal during its term.
